End User License Agreement (EULA)

This End User License Agreement (the “Agreement” or “EULA”) is a legal agreement between Officina Global (“Officina Global”, “we”, “us”, or “our”) and the individual, company, studio, or organisation purchasing or using the Font Software (the “Licensee”, “you”, or “your”).

By purchasing, downloading, installing, accessing, or otherwise using the Font Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not download, install, access, or use the Font Software.

Upon full payment of the applicable license fee, Officina Global grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use the Font Software in accordance with this Agreement. All rights not expressly granted are reserved by Officina Global.




1. Definitions


For the purposes of this Agreement:

“Font Software” means the typeface software supplied by Officina Global, including all font files and related data, in any format provided, including but not limited to OTF, TTF, WOFF, WOFF2, variable font formats, glyph outlines, metrics, spacing, kerning, hinting, OpenType features, coding, and any accompanying documentation.

“Licensee” means the individual, company, studio, organisation, or other legal entity that purchases the license.

“Licensed Entity” means the single legal entity or single named brand specified at the time of purchase. Unless expressly agreed otherwise in writing, the license does not extend to parent companies, subsidiaries, affiliated companies, sister brands, regional branches, or client organisations.

“License Tier” means the size category selected and paid for at the time of purchase, based on the total number of employees, collaborators, or relevant team members of the Licensed Entity, if Officina Global applies entity-size pricing.

“Media Type” means the specific use category licensed under this Agreement, including Desktop, Web, App, Social Media, Broadcasting, Merchandise, or any other category explicitly stated on the invoice or licensing documentation.




2. Ownership


The Font Software is licensed, not sold. Officina Global retains all right, title, and interest in and to the Font Software, including all copyrights, design rights, trademark rights, and any other intellectual property rights therein.

This Agreement does not transfer any ownership rights in the Font Software to the Licensee.




3. License Grant


Subject to full payment of the applicable fees and continued compliance with this Agreement, Officina Global grants the Licensee a perpetual, non-exclusive, non-transferable, non-sublicensable license to use the Font Software only:

  • by the Licensed Entity;
  • for the Media Type or Media Types purchased;
  • within the applicable License Tier, if relevant; and
  • in accordance with the restrictions and conditions set out in this Agreement.

Each license is granted for one Licensed Entity only. Use by any additional entity, affiliated company, sub-brand, client, partner, or collaborator requires a separate license unless expressly approved by Officina Global in writing.




4. License Structure


License fees may be determined by one or more of the following:

  • the size of the Licensed Entity;
  • the number of users, devices, or installations;
  • the Media Type purchased; and/or
  • any other criteria stated at the time of purchase.

The Licensee must provide accurate information when purchasing a license. If the scope of use exceeds the purchased license, including by exceeding the applicable tier or expanding into additional Media Types, the Licensee must purchase an appropriate upgrade before such use occurs.


Officina Global reserves the right to request reasonable information to confirm that the Licensee’s use falls within the purchased scope.




5. Permitted Uses by License Type


Only the license types expressly purchased by the Licensee are granted.




5.1 Desktop License


A Desktop License permits the Licensee to install and use the Font Software on devices owned or controlled by the Licensed Entity for the purpose of creating static visual outputs.

Permitted uses include, for example:

  • visual identities and brand materials;
  • logos and wordmarks;
  • editorial design;
  • books, magazines, brochures, catalogues, and posters;
  • packaging comps and presentations;
  • internal documents and pitch materials; and
  • non-editable or read-only PDF files.

The Desktop License does not permit use in websites, apps, software, e-books, broadcasting, editable templates distributed to third parties, or any other use requiring a separate license.




5.2 Web License


A Web License permits the Licensee to embed and self-host the Font Software on websites owned and controlled by the Licensed Entity using approved webfont formats, such as WOFF or WOFF2, and via standard web embedding methods such as @font-face.

Unless otherwise agreed in writing:

  • the Font Software must be self-hosted by the Licensee;
  • only the webfont files supplied or approved by Officina Global may be used;
  • the license applies only to the domains or domain scope specified at purchase; and
  • the Licensee must take reasonable measures to prevent unauthorised extraction or reuse of the Font Software.

The Web License does not permit use in web-based design tools, SaaS platforms, or systems that allow unlicensed third parties to access or use the Font Software.



5.3 App / Software / eBook License


An App / Software / eBook License permits the Licensee to embed the Font Software in a single application, software product, digital publication, eBook, or similar product, as specified at the time of purchase.

The Font Software must be embedded securely so that end users cannot directly access, extract, or reuse the font files.

A separate license may be required for each distinct app, title, platform, or product family unless otherwise stated by Officina Global in writing




5.4 Social Media License


A Social Media License permits the Licensee to use the Font Software to create static or animated branded content published through the Licensed Entity’s social media channels.

This includes, for example:

  • social posts;
  • stories;
  • campaign graphics;
  • short-form videos; and
  • paid social media advertisements.

This license does not permit the embedding or distribution of the Font Software itself, nor does it grant rights for broader audiovisual distribution outside social media unless separately licensed.




5.5 Trial License


If Officina Global provides trial fonts, they may be used solely for evaluation, mockups, internal review, and client presentation.

Trial fonts may not be used in final deliverables, public-facing materials, commercial work, published outputs, or any released product.




6. Logo and Brand Mark Use


Unless otherwise stated on the invoice or in separate written terms, logo and wordmark use is included under the Desktop License.

The Licensee may use the Font Software to create logos, logotypes, wordmarks, slogans, monograms, and related brand assets. Once such artwork has been converted to outlines or otherwise finalised as static artwork, the resulting artwork may be used by the Licensee within the scope of the licensed project or brand.

This permission does not allow the transfer of the underlying Font Software itself to unlicensed third parties.

If Officina Global chooses to issue a separate logo license for certain typefaces or custom agreements, that separate written agreement will override this section.




7. Third-Party Use and Service Providers


The Licensee may provide the Font Software temporarily to a printer, fabricator, developer, production supplier, or other service provider solely for the purpose of completing work on behalf of the Licensee, provided that:

  • such party uses the Font Software only for the Licensee’s authorised project;
  • such party does not use the Font Software for any other purpose;
  • such party does not retain, distribute, or reuse the Font Software after the project is complete; and the Licensee remains responsible for ensuring compliance with this Agreement.

Any third party requiring ongoing, independent, or repeated access to the Font Software must obtain its own license.




8. Restrictions


Unless expressly authorised in writing by Officina Global, the Licensee may not:

  • modify, adapt, reverse-engineer, decompile, disassemble, or otherwise alter the Font Software itself;
  • create derivative font software or generate new font files based on the Font Software;
  • redistribute, sublicense, sell, lend, rent, lease, share, or otherwise transfer the Font Software to any third party;
  • upload the Font Software to any public server, public repository, shared asset library, or publicly accessible cloud environment;
  • include the Font Software in editable templates, products, or files distributed to unlicensed third parties where the font can be accessed, extracted, or reused;
  • embed the Font Software in websites, apps, software, e-books, games, or other digital products without the appropriate license;
  • use the Font Software in online design tools, print-on-demand systems, personalisation systems, template marketplaces, or any service that allows end users to typeset, customise, or generate content using the Font Software;
  • convert the Font Software to other formats except where such conversion is expressly necessary for a licensed use and authorised by Officina Global;
  • use the Font Software, its glyphs, outlines, metrics, kerning, code, or other data to train, fine-tune, validate, or otherwise contribute to any artificial intelligence, machine learning, or generative system;
  • use the Font Software in connection with unlawful, discriminatory, hateful, defamatory, or abusive content;
  • use the Font Software in political campaigns, party-political communications, or political advertising without prior written consent from Officina Global; or
  • use the Font Software in connection with NFTs, blockchain-based assets, or cryptocurrency products without prior written consent from Officina Global.





9. Outline Conversion


The Licensee may convert text set in the Font Software to vector outlines or other static artwork as part of normal design production.

However, the Licensee may not edit the font in a font editor, generate modified font software, or create derivative font files.




10. Compliance and Infringement


Any use of the Font Software beyond the purchased scope, or without a valid license, constitutes unauthorised use and may infringe Officina Global’s intellectual property rights.

If unauthorised use is identified, Officina Global reserves the right to require the Licensee to purchase the appropriate retroactive license and to pursue any other remedies available under applicable law.

This Agreement becomes effective upon full payment and continues in perpetuity unless terminated in accordance with this section.




11. Term and Termination


Officina Global may terminate this Agreement immediately if the Licensee commits a material breach of this Agreement, including but not limited to unauthorised redistribution, deliberate misuse, or repeated use outside the licensed scope.

Where the breach is capable of remedy, Officina Global may provide written notice and a reasonable opportunity to cure the breach before termination.

Upon termination, all rights granted under this Agreement cease immediately. The Licensee must stop using the Font Software and delete all copies of it in its possession or control, except for final static artwork already lawfully produced, unless otherwise required by law.

Termination does not entitle the Licensee to a refund.




13. Limitation of Liability


To the fullest extent permitted by law, Officina Global’s total liability under this Agreement shall be limited to the amount actually paid by the Licensee for the relevant Font Software.

Officina Global shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, loss of business, loss of goodwill, or loss of data, arising out of or relating to the use of or inability to use the Font Software.




14. Confidentiality and Protection of Files


The Licensee must take reasonable steps to protect the Font Software from unauthorised access, copying, or distribution.

The Licensee must ensure that employees, contractors, and service providers with access to the Font Software comply with this Agreement.




15. Promotional Use


Unless the Licensee requests otherwise in writing at or before the time of purchase, Officina Global may reference the Licensee’s name and display work created using the Font Software for portfolio, promotional, educational, or archival purposes.

This section does not grant Officina Global any ownership in the Licensee’s trademarks, confidential materials, or other proprietary content.




16. Amendments


Officina Global may update or revise this Agreement from time to time.

Unless otherwise stated by Officina Global in writing, the version of the Agreement in effect at the time of purchase shall govern the Licensee’s use of the Font Software purchased at that time.




17. Severability


If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.




18. Entire Agreement


This Agreement constitutes the entire agreement between Officina Global and the Licensee with respect to the Font Software and supersedes all prior understandings, communications, and representations relating to the Font Software.

Any modification or waiver must be made in writing and approved by Officina Global.




19. Governing Law and Jurisdiction


This Agreement shall be governed by and construed in accordance with the laws of Mexico City, without regard to conflict of laws principles.

Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Mexico City, Mexico.
